ARTICLE I – NAME
Section 1. This organization shall be known as the South Central District of the American Rose Society.
ARTICLE II – OBJECTIVES
The South Central District is organized as a functional part of the American Rose Society and shall be governed by the Constitution, bylaws and all rules and regulations duly and regularly adopted by that Society.
The objectives of the South Central District are:
- To encourage membership in the American Rose Society.
To arrange for an annual meeting of the members of the American Rose Society who reside within the district and constitute the membership of the South entral District.
To sponsor an annual District Convention and Rose Show.
To assist in the formation and organization of new rose societies within the district.
- To promote and encourage the cultivation of rose plants, generally.
ARTICLE III – MEMBERSHIP AND DUES
Section 1. Membership
The membership shall consist of all members of the American Rose Society residing within the boundaries of the South Central District, as defined and approved by the American Rose Society, and those individuals who are members by request.
Section 2. Dues
There shall be no dues or assessments against individual members. However, in order to carry-on the essential functions of the District and support the American Rose Society, opportunities shall be made available for voluntary tax-deductible contributions through a Patron Program. Individual donations may be made to the South Central District in any amount; however, the Patron Program will encourage and recognize annual contributions in the following amounts:
- Society Patron$50
- Family Patron$40
- Member Patron$25
Societies, families and individual members who donate through the Patron Program shall be recognized in the SCD Rosarian newsletter, and through other recognition as considered appropriate by the Board of Directors.
Section 3. Dissolution
In the event the South Central District should be dissolved, available District funds will be transferred to the American Rose Society to be administered by the ARS Board of Directors.
ARTICLE IV – OFFICERS
Section 1. DISTRICT DIRECTOR
The District Director, duly elected under the bylaws of the American Rose Society, shall be the Chief Executive Officer of the South Central District, and also serve as Chair of the Board of Directors.
Section 2. BOARD OF DIRECTORS
The Board of Directors shall be the governing body in all matters pertaining to District business. The Board of Directors shall be composed of the following elected officers:
- District Director Deputy Director Director, Membership
- Director, Consulting Rosarians Director, Prizes and Awards
- Director, Horticulture Judges Director, Arrangements Judges Secretary
Regional Director, the Immediate Past Director, and the Editor of the SCD Rosarian shall be invited to sit on the Board of Directors, without vote.
ARTICLE V – NOMINATIONS AND ELECTIONS
Section 1. NOMINATIONS
The Director shall appoint a Nominating Committee consisting of at least three members, no two of which may be members of the same local society. The Director shall also designate the Chair of the Nominating Committee. It shall be the duty of this committee to present a slate of nominees at the annual membership meeting immediately following the ARS triennial election. These nominees are to be chosen from recommendations made to the committee by the local societies, of qualified members of the American Rose Society, who have agreed to serve. After the report of the Nominating Committee has been presented, opportunity will be given for nominations for each position from the floor. Any candidates nominated from the floor must be a member of the American Rose Society, must be present, and must indicate a willingness to serve, before being elected.
Section 2. ELECTIONS
At the district Board of Directors meeting immediately following a triennial election, upon completion of business, the District Director
shall call for adjournment of the Board of Directors meeting and convene a membership meeting. The District Director shall then recognize the incoming District Director to assume their role of leadership. The first order of business will then be a report from the Nominating Committee. After the report from the Nominating Committee and nominations from the floor, those candidates receiving a majority vote of members present and voting shall be declared elected. The elected officers shall serve a term of three years, or from one election to the next duly authorized election. Elected officers may succeed themselves for one additional term in the same office, but in no case shall they serve more than six consecutive years in the same office. After the election of the new officers, and adjournment of the membership meeting, the District Director may choose to convene a Board of Directors meeting to consider any items on their agenda.
Section 3. DUTIES OF OFFICERS
The District Director shall serve as Chief Executive Officer and preside over all Board of Director meetings and general membership meetings. In the temporary absence of the Director, the Deputy Director shall serve as Acting Director and preside at the annual member meeting as well as the Board of Directors’ meeting.
The Deputy Director shall promote and administer the Patron Program within the District, and serve as a Director-at-Large to assist the District Director in any special area needed. More importantly, in the temporary absence of the Director, the Deputy Director shall serve as Acting Director and preside at the annual member meeting as well as Chair the Board of Directors meeting.
The Director, Membership shall promote membership growth in the American Rose Society, the South Central District, and in all local societies. The Director, Membership shall coordinate programs with appropriate counterparts in the local societies.
The Director, Consulting Rosarians shall coordinate Consulting Rosarian activities throughout the District, including Consulting Rosarian Schools and certifications, and other district-wide projects involving Consulting Rosarians. This individual shall also appoint a Consulting Rosarian, in consultation with the District Director, to coordinate the annual Roses-In-Review program for the District. The Director, Consulting Rosarians shall establish and administer a process for selecting the Outstanding Consulting Rosarian for the District each year.
The Director, Prizes and Awards shall be the District member of the National Nominating Committee. The District Director will notify the Executive Secretary of the American Rose Society of the name of this District representative. To be eligible to serve as Director, Prizes and Awards, the individual must have a broad knowledge of activities within the local societies and at District level; must regularly exhibit in rose shows at the local and District level; and, must have attended at least one ARS National Rose Show and Convention in the previous two years
- Each local society within the District will appoint or elect a representative to the District Prizes and Awards Committee. Individuals selected shall not represent more than one Society within the District. In most cases, this individual should be the Prizes and Awards Chair for the localsociety; if there is not one, the local society President should serve in that important job.
The Director, Prizes and Awards, assisted by committee members, shall recruit sponsors for District Challenge Classes.
The Director, Prizes and Awards shall administer the process established by the American Rose Society for selecting the person to receive the annual ARS Silver Honor Medal for Outstanding Service to the South Central District.
The Director, Horticulture Judges shall be responsible for coordinating qualifying schools for prospective Horticulture Judges, certification via the Apprentice Judge program, and periodic re-certification via the school auditing program. The Director, Horticulture Judges shall establish and administer a process for selecting the person to receive the annual award as the Outstanding Judge for the District. The Director, Horticulture Judges shall also administer other aspects of rose show judging within the District.
The Director, Arrangements Judges shall be responsible for coordinating qualifying schools for prospective Arrangements Judges, certification via the Apprentice Judge program, and periodic re-certification via the school auditing program. The Director, Arrangements Judges shall also administer other aspects of arrangements judging within the District.
The Secretary shall accurately record and publish the minutes of the Board of Directors meetings as well as the general membership meetings. The Secretary will provide other administrative assistance to the District Director and Directors, as needed.
The Treasurer shall receive all funds of the District, deposit funds in a State or Federal Chartered financial institution and keep an accurate and legible account of all financial transactions. District funds may not be expended except on order of the District Director or approval actions by the Board of Directors. Commitment of funds to be expended will be limited to the funds on-hand, and available. The Treasurer shall render an annual accounting of all funds received and expended, at the annual meeting.
Section 4. VACANCIES
- In the event an elected officer (other than the District Director or the District Member of the National Nominating Committee) cannot serve due to death, incapacitation or resignation, which would result in a vacancy, the Board of Directors shall have the power to fill such vacancy for the remaining term.
- In the event of death, incapacitation, or resignation of the District Director or District Member of the National Nominating Committee, current American Rose Society bylaws stipulate that the successor for either position will be chosen by the District.
(1.) In order to maintain continuity should such an emergency arise, the Deputy Director shall assume the position of Interim Director until
the next scheduled annual member meeting.
(2.) In the event the position of District Member of the National Nominating Committee is unexpectedly vacated, the District Director (or the Interim Director) shall appoint a qualified individual to serve in that capacity until the next scheduled general member meeting.
(3.) The Interim Director shall call for an election and appoint a Nominating Committee (Article V, Section 1.) for the purpose of selecting a complete list of candidates needed to fill vacancies. Candidates will be presented to the general membership at the next scheduled annual member meeting for election.
Section 5. AREA CHAIRPERSONS
The South Central District shall be divided into areas as determined by the District Director. The Director shall appoint one Area Chairperson for each area. This appointee must reside within the area served and becomes the area advisory representative to the Board of Directors. Their term of office shall be at the discretion of the District Director; however, no term may exceed that of the Director appointing them. Their duties shall be to assist the Director in carrying out District activities within their respective areas, to encourage local interest in the American Rose Society and to coordinate the efforts of local societies in establishing non-conflicting show dates. They shall attend all meetings of the Board of Directors and assist and advise the Board of Directors on matters within their area. They shall perform such other duties as the District Director may request.
ARTICLE VI – MEETINGS AND SHOWS
There shall be at least one District Convention and Rose Show at an appropriate time each year. During this Convention, there shall be a meeting of the Board of Directors and of the general membership attending the Convention. The annual meetings and rose shows are to be sponsored by the ARS Affiliated or Associated Societies located within the South Central District, at their invitation. The District will not be liable for any financial loss incurred by the local society in sponsoring a meeting and rose show. However, the Board of Directors is empowered to share in such loss to the extent they may deem necessary.
A meeting of the Board of Directors shall be held at the annual meetings, at a time and place selected by the Director, or in his/her absence, by the Deputy Director. As a means of keeping the membership informed, the Board of Directors’ meetings are open to members in attendance at the convention. A quorum of five regular members, plus the Director, must be in attendance while transacting District business. A special meeting of the Board of Directors may be called by the Director, upon ten days notice to all members of the Board. In case of a tie in voting, the Director, or Acting Director, may cast the deciding vote.
At the annual meetings, each Director shall present a summary of ongoing and planned activities within their respective area of responsibility. Special emphasis shall also be placed on providing any information of significance regarding changes from the National and District levels.
ARTICLE VII – COMMITTEES
Standing Committees shall be as listed below. An elected member of the Board of Directors shall chair each committee.
Prizes and Awards Horticulture Judges Arrangements Judges Consulting Rosarians
The elected Directors for these standing committees shall endeavor to enlist the aid and assistance of individuals within the local societies to ensure a broad spectrum of experience and support in these special areas.
ARTICLE VIII – PARLIAMENTARY AUTHORITY<
The rules contained in the current edition of Robert’s Rules of Order, Newly Revised shall govern the proceedings of the District business meetings in all cases not addressed by these bylaws.
ARTICLE IX – AMENDMENT OF BYLAWS
These bylaws may be amended at an annual meeting by a two-thirds vote of all members present and voting, provided the amendments shall have been sent to each member of the District at least thirty (30) days prior to the annual meeting. The thirty (30) day notification rule may be suspended by consent of all members present.
A copy of these bylaws shall be filed with the Office of the Secretary of the American Rose Society promptly after adoption, and that office shall be notified of any subsequent amendments, changes, or alterations which are subject to approval by the Board of the American Rose Society, or a committee duly appointed by said Board.
